These Terms of Use (the “Terms”) set out the rules governing access to and use of the Alaiin platform, including its website, applications, services, communities, lounges and related features (together, the “Platform”).
The Platform is owned and operated by Alaiin LLC (“Company”, “we”, “us” or “our”).
By accessing, browsing, registering with or using the Platform in any way, you confirm that you have read and understood these Terms and agree to be bound by them. If you do not agree, please do not access or use the Platform.
1. What the Platform Is
1.1 The Platform is a private, international networking and communication environment. It is designed for the next generation of enterprising families, including family offices and family businesses, solely for family members who are owners or principals.
1.2 Through the Platform, users can:
set up and manage their profiles;
connect and communicate with other members;
join communities, attend events, and access industry and family office lounges (subject to approval upon verification of their family office);
share professional, commercial and investment-related interests;
explore and discuss business opportunities;
present opportunities to other users; and
make use of the Platform’s networking and communication tools.
1.3 The Platform is a technology-enabled social and professional networking environment. It does not provide investment services, investment advice, brokerage services, placement services, portfolio management, financial analysis or any form of regulated financial intermediation.
2. Digital Services Act
2.1 For the purposes of Regulation (EU) 2022/2065 (the “DSA”), the Platform functions as:
a hosting service provider; and
an online intermediary facilitating user-generated content and communications.
2.2 We do not create, verify, endorse or approve any investment-related content or opportunities shared by users. Users are solely responsible for everything they post or communicate through the Platform. We have no general obligation to monitor content unless required by law, though we reserve the right to remove, restrict or suspend content or accounts where necessary for legal, regulatory, compliance, security or reputational reasons.
3. No Investment Services (MiFID Disclaimer)
3.1 Neither the Platform nor the Company provides investment services or investment activities within the meaning of Directive 2014/65/EU (MiFID II) or any equivalent legislation in any other jurisdiction.
3.2 In particular, we do not:
receive or transmit orders relating to financial instruments;
execute orders on behalf of users;
provide investment advice or personal recommendations;
manage portfolios;
arrange or broker transactions;
place or underwrite securities;
operate any trading venue;
solicit investments from the public; or
act as an investment intermediary, dealer, broker or fiduciary.
3.3 Any references to investment opportunities, co-investments, fundraising activities or similar matters on the Platform — including within any Family Office Lounge or member community — are posted by users for networking, informational and discussion purposes only. Their presence does not constitute investment advice, investment research, financial promotion, a recommendation or endorsement, solicitation of investors, or any form of regulated activity.
3.4 By using the Platform, users acknowledge that:
all investment and business decisions are made independently and at their own risk;
we do not assess the suitability or appropriateness of any opportunity;
we do not verify the legality, quality, viability or legitimacy of any opportunity;
users are solely responsible for their own due diligence; and
users should seek independent legal, tax, accounting, financial and regulatory advice before entering into any transaction.
3.5 The Platform operates solely as a passive technology and communications intermediary.
4. Eligibility and Membership
4.1 Access to the Platform may be limited to selected or approved users. We reserve the right, at our sole discretion, to accept or reject membership applications, restrict access to certain features or communities, impose eligibility or verification requirements, and suspend or terminate membership.
4.2 By registering, users confirm that:
all information provided is accurate and complete;
they are legally capable of entering into binding agreements;
they will comply with all applicable laws and regulations; and
they are acting in a professional or commercial capacity where relevant.
4.3 The Platform is not aimed at retail consumers or the general public.
5. User Accounts
5.1 Certain features require account registration. Users must keep their account information accurate and current. Users are responsible for maintaining the confidentiality of their login credentials, controlling access to their account, and all activity carried out under it. Any unauthorised access or security breach should be reported to us immediately. We may suspend or terminate accounts that are inaccurate, misleading, fraudulent or otherwise non-compliant.
6. KYC, Identity Verification and Compliance
6.1 We may carry out identity verification, know-your-customer (KYC), sanctions screening, reputational checks and other compliance procedures. This may involve collecting and processing:
passport photographs or copies;
identity documentation;
professional and business information;
investment focus and industry interests;
average investment ticket size;
leadership and management style information;
networking preferences; and
related profile information.
6.2 This information may be used for:
identity verification and anti-impersonation purposes;
fraud prevention;
sanctions and AML compliance;
membership assessment;
platform security and integrity;
networking functionality and member matching; and
other legitimate business and operational purposes.
6.3 We may request further information or documentation at any time. Failure to provide it may result in rejection, suspension or termination of membership.
7. Sanctions Compliance and Admissions
7.1 Given the Platform’s international membership base, we may conduct sanctions, AML, politically exposed person (PEP), reputational and other compliance checks. These may include reviews against:
sanctions databases;
PEP databases;
restricted jurisdiction lists; and
other lawful compliance sources.
7.2 We reserve the right to refuse, suspend or terminate membership where necessary to comply with legal or sanctions obligations, protect the Platform and its users, prevent unlawful or high-risk activity, or manage operational, security or reputational risks. We aim to apply these procedures in a lawful, proportionate and non-discriminatory way. Nothing in these Terms obliges us to admit or retain any user where doing so could expose the Company or its members to legal, regulatory, financial crime, reputational or security risks.
8. User Content and Communications
8.1 Users are solely responsible for all content, communications and materials they upload, share or transmit through the Platform (“User Content”). User Content must be lawful, must not infringe third-party rights, must not be fraudulent, misleading or deceptive, must not breach applicable securities or financial promotion laws, and must not contain malicious software or harmful code.
8.2 We do not verify, endorse or guarantee User Content, and we reserve the right to remove or restrict it at our discretion. Users grant us a worldwide, non-exclusive, royalty-free licence to host, store, display and process User Content solely for the purpose of operating the Platform.
9. Confidentiality and Family Office Lounge
9.1 The Platform — including any Family Office Lounge or private communities — may involve sensitive discussions around family enterprises, investment matters, ownership structures and business interests. Users agree to treat all non-public information obtained through the Platform as confidential and not to disclose it except where authorised or legally required. We cannot guarantee that other users will honour their confidentiality obligations, and we do not accept responsibility for any breach by another user.
10. Prohibited Conduct
10.1 Users must not:
violate any applicable laws or regulations;
engage in unlawful financial promotion;
impersonate another person;
submit misleading or fraudulent information;
interfere with Platform security or functionality;
transmit malware or harmful code;
scrape or harvest data from the Platform;
use the Platform for unauthorised marketing or spam;
infringe third-party intellectual property rights;
behave in an abusive, discriminatory or unlawful manner; or
use the Platform in a way that could expose the Company to regulatory liability.
10.2 We may suspend or terminate access for any breach of this section.
11. Intellectual Property
11.1 All rights in the Platform (excluding User Content) belong to the Company and its licensors. Users may not reproduce, reverse-engineer, distribute or exploit any part of the Platform except as expressly permitted.
12. Data Protection
12.1 We process personal data in accordance with Regulation (EU) 2016/679 (GDPR), applicable Cyprus data protection laws and our Privacy Policy. Personal data we process may include:
identity and verification information;
passport documentation;
professional and investment preference information;
networking and profile information;
communications;
device and usage data; and
compliance and security-related information.
12.2 We apply commercially reasonable technical and organisational measures to protect personal data. Users acknowledge that the international nature of the Platform means personal data may be transferred internationally using appropriate safeguards.
13. Disclaimer of Warranties
13.1 The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement and uninterrupted or error-free operation. We do not guarantee:
the accuracy or reliability of User Content;
the legitimacy of any opportunity shared on the Platform;
successful introductions or transactions;
compatibility between users; or
that any investment opportunity will perform as expected.
14. Limitation of Liability
14.1 To the fullest extent permitted by law, the Company and its affiliates will not be liable for indirect, incidental or consequential damages, loss of profits or opportunity, investment losses, reputational harm, data loss, business interruption, or any reliance on User Content or opportunities shared on the Platform.
14.2 We are not responsible for transactions, communications or arrangements entered into between users. Nothing in these Terms excludes liability that cannot lawfully be excluded.
15. Indemnification
15.1 Users agree to indemnify and hold harmless the Company, its affiliates, officers, directors, employees and agents against any claims, liabilities, losses, damages and expenses arising from their use of the Platform, any breach of these Terms, any violation of law, any User Content they post, or any dispute with another user.
16. Suspension and Termination
16.1 We may suspend or terminate access at any time, with or without notice. Upon termination, access rights cease immediately, though provisions that by their nature should survive will continue to apply. We may retain information where required by law or for legitimate business purposes.
17. Modifications
17.1 We may amend these Terms from time to time. Updated Terms take effect upon publication on the Platform unless we state otherwise. Continued use of the Platform following any update constitutes acceptance of the revised Terms.
18. Governing Law and Jurisdiction
18.1 These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus. The courts of Cyprus have exclusive jurisdiction over any disputes arising from or connected with these Terms.
19. Miscellaneous
19.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. Failure by us to enforce any provision does not constitute a waiver. These Terms constitute the entire agreement between the parties regarding use of the Platform.

This Privacy Policy (“Policy”) explains how Alaiin LLC (“Company”, “we”, “us” or “our”) collects, uses, stores, transfers and protects personal data in connection with the Platform. It is intended to comply with Regulation (EU) 2016/679 (GDPR), applicable Cyprus data protection legislation and related laws. By using the Platform, you acknowledge that your personal data may be processed in accordance with this Policy.
1. Information We Collect
1.1 Information provided directly by users may include:
name and contact details;
email address and telephone number;
profile and business information;
family office details;
industry and investment focus;
average investment ticket size;
leadership and management style information;
networking preferences;
communications and messages;
payment and billing information;
identity verification materials including passport photographs or copies; and
other information voluntarily submitted.
1.2 Information collected automatically may include:
device and browser information;
IP addresses;
cookies and tracking data;
usage analytics;
activity logs; and
technical diagnostic information.
2. How We Use Your Information
2.1 We may use personal data for purposes including:
operating and administering the Platform;
managing user accounts;
providing networking functionality and user matching;
identity verification and KYC;
fraud prevention and security;
sanctions and compliance screening;
preventing unlawful activity;
communications and support;
analytics and service improvement;
event management;
payment processing;
legal and regulatory compliance; and
protecting the Company’s legitimate interests.
3. Legal Bases for Processing
3.1 We may process personal data on the basis of:
performance of a contract;
our legitimate interests;
compliance with legal obligations;
user consent where required; and
protection of the rights, security and integrity of the Platform.
4. Sensitive and Confidential Information
4.1 The Platform may involve the processing of information relating to family enterprises, ownership structures, business interests, investment activities and confidential professional relationships. We apply appropriate confidentiality and security measures when handling such information. Users should nonetheless exercise caution when sharing sensitive or confidential material through the Platform.
5. Identity Verification and KYC
5.1 We may require identity verification and compliance procedures, which can involve collecting and processing passport photographs or copies, identity verification materials, sanctions screening information, anti-fraud verification materials and related compliance documentation. This processing may be carried out for:
membership verification;
prevention of impersonation and fraud;
compliance and risk management;
platform security; and
protection of users and the Platform.
5.2 We aim to ensure that identity verification measures remain proportionate and limited to what is reasonably necessary.
6. Automated Decision-Making
6.1 We do not use investment focus, ticket size, leadership style or networking information to generate investment recommendations or automated advice. We do not engage in automated decision-making that produces legal or similarly significant effects within the meaning of Article 22 GDPR.
7. Sharing of Information
7.1 We may share information with:
service, hosting and infrastructure providers;
payment processors;
analytics providers;
legal and professional advisers;
compliance and identity verification providers; and
competent authorities where legally required.
7.2 We do not sell personal data.
8. International Transfers
8.1 Given the Platform’s international membership base, personal data may be transferred across borders. Where required, such transfers are implemented using lawful safeguards including adequacy decisions, Standard Contractual Clauses or other lawful transfer mechanisms.
9. Data Retention
9.1 Personal data is kept only for as long as reasonably necessary for:
operational purposes;
legal and compliance obligations;
dispute resolution;
fraud prevention and security; and
legitimate business interests.
9.2 Identity verification and KYC information may be held for compliance, security and anti-fraud purposes for appropriate retention periods. Data that is no longer required will be anonymised or securely deleted.
10. Security
10.1 We apply commercially reasonable technical and organisational measures to protect personal data. No method of transmission or storage is entirely secure, however, and we cannot guarantee absolute security.
11. Your Rights
11.1 Subject to applicable law, users may have rights to:
access personal data we hold about them;
correct inaccurate information;
request deletion;
object to or request restriction of processing;
withdraw consent;
request data portability; and
lodge complaints with a competent supervisory authority.

12. Cookies and Tracking Technologies
12.1 The Platform uses cookies and related technologies for functionality, analytics, security, user experience and performance optimisation. Users can manage cookie settings through their browser controls where available.
13. Third-Party Services
13.1 The Platform may contain links to or integrations with third-party services. We are not responsible for the privacy practices of those third parties.
14. Changes to this Policy
14.1 We may update this Policy from time to time. Updated versions take effect upon publication unless otherwise stated.

16. Supervisory Authority
